Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at silo77.com and any application, product, or service provided by SILO77, LLC, a Delaware limited liability company (“SILO77”, “we”, “us”) (together, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy explains how we handle personal information and forms part of these Terms.

Eligibility

You must be at least 13 years old — or older, if a higher minimum age applies where you live — and old enough to form a binding contract where you live, to use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Accounts

Some Services require an account. You agree to provide accurate information, to keep it current, and to keep your credentials secure. You are responsible for activity that occurs under your account. Tell us promptly at team@silo77.com if you believe your account has been compromised.

Subscriptions, billing, and refunds

• Some Services are offered on a paid basis, including recurring subscriptions. Prices and billing periods are shown at the point of purchase.
• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We may change prices on prospective renewals with advance notice; continued use after the change takes effect constitutes acceptance.
• Where you purchase through the Apple App Store or another marketplace, billing, renewal, cancellation, and refunds are handled by that marketplace under its own terms, and you manage or cancel your subscription through your account with that marketplace.
• Except where required by law or expressly stated otherwise, payments are non-refundable and there are no refunds or credits for partial periods.

Licence and your content

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal or internal business purposes.

You retain all rights in the content you create, upload, or store through the Services. You grant us a limited licence to host, store, process, transmit, and display that content solely to operate and provide the Services to you.

AI features

Some Services include features powered by artificial intelligence. To provide them, we send the content needed to fulfil your request to a third-party model provider, which processes it and returns a result (“Output”). Our Privacy Policy describes what is sent and how those providers handle it.

As between you and SILO77, you own the Output generated from your input, subject to the model provider's terms and to our rights in the Services themselves. We claim no ownership of it. Because these features are probabilistic, other users may receive identical or similar Output from similar requests, and Output may not be protected by copyright in every jurisdiction.

Output may be inaccurate. AI features can produce content that is incorrect, incomplete, biased, or misleading, even when it is presented confidently. Output is not professional advice, and you should not rely on it for medical, legal, financial, safety, or other consequential decisions without independent verification by a qualified person. You are responsible for reviewing Output before relying on it or making it available to others, and for any decision you make on the basis of it. We do not warrant the accuracy, completeness, or fitness for any purpose of any Output.

You agree not to use AI features in a way that violates the usage policies of the underlying model provider, including using them to generate unlawful, deceptive, or abusive content, to circumvent a provider's safety measures, or to develop a competing model. We may suspend access to AI features to comply with a provider's requirements or where a provider's service becomes unavailable to us.

Feedback

If you send us suggestions, feature requests, bug reports, or other feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or obligation to you. We are free to act on feedback without compensating or crediting you, and you should not send us anything you consider confidential.

Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Reverse engineer, decompile, or attempt to extract source code from the Services, except as permitted by an open source licence that covers the software in question or to the extent that restriction is prohibited by law.
• Interfere with, disrupt, or place unreasonable load on the Services or their infrastructure, or attempt to gain unauthorised access to any system or account.
• Resell, sublicense, or commercially redistribute the Services without our written permission, except as permitted by an open source licence that covers the software in question.
• Use the Services to store or transmit material that is unlawful, infringing, or malicious.
• Use the Services in violation of US export control or sanctions laws, or make them available to anyone located in an embargoed country or named on a restricted-party list. You represent that you are not such a person.

Intellectual property

The Services, including all software, design, text, and the SILO77 name and marks, are owned by SILO77 or its licensors and are protected by intellectual property laws. These Terms grant you no rights in them other than the licence expressly stated above. This section does not apply to software we release under an open source licence, which is covered below.

Open source software

We publish some of our software under open source licences. That software is governed solely by the licence distributed with it, and where that licence conflicts with these Terms, the licence controls for that software — including any rights it gives you to use, copy, modify, distribute, or study the source code. Nothing in these Terms limits or adds conditions to rights granted to you by an open source licence.

Open source software is provided under the warranty disclaimer and liability limitation in its own licence. If you run our open source software yourself, we do not operate it for you, provide support for your deployment, or receive the data it processes. Our name, logo, and marks are not licensed to you by an open source licence and remain subject to the intellectual property section above.

The Services also include third-party open source components, which are licensed to you under their own terms. Those terms are made available with the software they cover.

Copyright complaints

If you believe material available through the Services infringes your copyright, send a notice under the Digital Millennium Copyright Act to team@silo77.com with the subject line “DMCA Notice”, identifying the work and the material, your contact details, and the statements required by 17 U.S.C. § 512(c)(3). We will respond to valid notices and may remove material and terminate the accounts of repeat infringers.

Apple App Store

The following applies to any application obtained through the Apple App Store:

• These Terms are between you and SILO77 only, not Apple, and SILO77 alone is responsible for the application and its content.
• Your licence to use the application is a non-transferable licence to use it on Apple-branded devices you own or control, as permitted by the Usage Rules in the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for the application. If the application fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation.
• SILO77, not Apple, is responsible for addressing any claim relating to the application, including product liability claims, claims that it fails to conform to a legal requirement, consumer protection claims, and third-party claims that it infringes intellectual property rights.
• You represent that you are not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and are not on any US Government restricted-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, on your acceptance, will have the right to enforce them against you.

Third-party services

The Services may interoperate with or link to third-party products and services. We do not control those services, are not responsible for them, and your use of them is governed by their own terms and privacy policies.

Disclaimers

The Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error free, or secure, or that any data will be preserved without loss. You are responsible for maintaining your own backups of important data.

Limitation of liability

To the maximum extent permitted by law, SILO77 will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services. Our total liability for all claims relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the event giving rise to the claim, or fifty US dollars.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold harmless SILO77 and its members, officers, and agents from any claim, damage, loss, or expense (including reasonable legal fees) arising out of your use of the Services, your content, or your breach of these Terms.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue a Service. On termination, the provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and governing law — will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in Delaware, and you consent to their jurisdiction. This does not deprive you of the protection of mandatory consumer-protection laws where you live.

Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any additional terms presented with a particular Service, are the entire agreement between you and SILO77 about the Services and supersede any prior agreement on that subject. Where additional terms conflict with these Terms, the additional terms control for that Service.
• Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will stay in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Notices. We may give you notice by email to the address on your account, by posting on silo77.com, or through an in-app message. You may send notices to team@silo77.com.
• Force majeure. Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control, including outages of infrastructure or third-party services we depend on.
• Relationship. These Terms do not create a partnership, joint venture, employment, or agency relationship between you and SILO77.

Changes to these Terms

We may update these Terms from time to time. We will revise the “last updated” date above, and where changes are material we will provide additional notice. Continued use of the Services after changes take effect constitutes acceptance.
